The Reg CF offering timeline, from preparation to closing

Plan a Reg CF raise around preparation work, the 21-day disclosure period, investor cancellation rights, eligible rolling closes, and reporting dates.

Preparation determines your workable launch date

There is no single Reg CF launch schedule that fits every issuer. A company with reconciled financials, current ownership records, agreed terms, and a prepared audience has different work ahead from a company still deciding what to offer.

Build the schedule around dependencies. Financial statements can depend on bookkeeping cleanup. Security documents can depend on company approvals. The Form C and deal page depend on those terms and financials. An unresolved item in one area can delay work elsewhere.

Issuance Express starts by reviewing portal fit and aligning on the fundraising goal, proposed security, timeline, and required information. A dedicated contact coordinates the inputs and required partners. That helps your company plan against actual work rather than a generic promised number of days.

Identify any business deadline early. If you need financing before a lease deposit or production order, the offering plan needs to account for preparation and closing conditions as well as fundraising uncertainty.

Several preparation tasks can move together

Your CPA can work on financial statements while your team gathers company records and prepares the business explanation. Counsel can assess the proposed security while marketing prepares content appropriate to the offering’s stage.

The shared facts must remain consistent. If the maximum raise changes, the financial statement requirement or use-of-proceeds discussion may change too. If the security changes, the investor explanation and transaction documents need attention.

Issuance Express manages Form C production and filing, coordinates required partners, and supports the deal page and investor onboarding. Your team provides the information and leads audience outreach.

Before announcing a public launch, confirm that the essential documents, portal setup, and communications are ready together. A finished video does not resolve incomplete financials, and an available filing does not establish investor demand.

The 21-day period starts with public platform disclosures

The intermediary must make required issuer information publicly available on its platform for at least 21 days before securities are sold. It may accept investment commitments during that period. The rule concerns availability of the required information on the platform, not merely the date someone began drafting Form C. Rule 303(a) sets the requirement.

That is a minimum disclosure period, not a promise of proceeds on day 22. Your target, investor cancellation rights, completed payments, documentation, and other applicable requirements still matter.

For example, an illustrative issuer might attract substantial interest shortly after launch. The company still cannot treat that interest as immediately available cash. Fundraising activity and the completion of a securities transaction are different events.

Use the public period to answer questions and help visitors understand the business. Direct investment activity through the portal so investor information, commitments, and required communications follow the offering process.

Reaching the target is one closing condition

The minimum target establishes an important condition for completing the offering. It does not remove other requirements. Investor commitments ordinarily remain cancellable until 48 hours before the applicable offering deadline. Rule 304(a) explains the cancellation period.

An early close also requires specific notice and timing. The new deadline must be at least five business days after the required notice, the minimum 21-day period must be satisfied, and the offering must still meet the target at the new deadline. Rule 304(b) provides the conditions.

Eligible rolling closes can allow an offering to continue after an initial closing when properly structured and disclosed. Coordinate the actual sequence with Issuance Express rather than assuming that a campaign milestone automatically releases funds.

The closing and cancellation guide explains those steps in more detail. Base spending commitments on confirmed closing information and available cash.

Changes can require more time

Important developments can affect the schedule while the offering is live. A material change requires an amendment and reconfirmation of existing investment commitments. The intermediary must provide a notice giving affected investors five business days to reconfirm. A late material change can extend the offering. Rule 304(c) describes the process.

Tell your Issuance Express contact when significant facts change, including changes involving the proposed terms or business information. Your counsel and portal can assess the consequences for the offering documents and investor process.

Financial reporting dates can also create new work. SEC staff Question 201.03 addresses an open offering with a rolling close that continues more than 120 days after fiscal year end. Updated offering financial statements and an annual report are required in that situation.

A useful schedule includes time to respond to real developments. Avoid public promises that assume every commitment closes or that no information will change.

Closing starts the next part of the issuer’s work

After the offering, reconcile the final securities issued and maintain the records your company needs to communicate with holders. Security terms may create additional responsibilities, such as debt payments or notices. Assign owners for those tasks before the campaign ends.

The filing calendar also continues. Rule 203 sets progress-update requirements, including a final Form C-U where applicable, and the annual-report filing deadline. Do not assume that a completed campaign page replaces SEC filings.

An issuer that sells Reg CF securities generally has annual reporting obligations until a permitted termination condition applies. Record the fiscal year end and reporting dates as part of your offering handoff.

Bring Issuance Express your intended business deadline, current document status, CPA availability, and outreach plan. Those inputs support a schedule that reflects the financing you are actually trying to complete.
