Start with an owner inside the company
A Reg CF offering draws on information held by several people. The founder knows the financing plan. The bookkeeper knows which accounts need reconciliation. Counsel knows whether a prior financing restricts new securities. Someone must connect their answers and make sure decisions reach the offering team.
Appoint an internal offering lead with access to those people and authority to resolve routine questions. That person can be a founder, finance lead, or operator. In a small company, one person may hold several roles. The work still needs explicit owners.
Issuance Express provides a dedicated contact to coordinate inputs, partners, and dates. That coordination works best when the company has a clear counterpart. A shared inbox alone cannot decide whether management approves a revised use of proceeds or whether a cap table includes every outstanding note.
Agree on the work each participant owns
Use this starting matrix in your kickoff discussion. Adjust assignments to the actual engagements and your company’s needs.
| Participant | Main work | A useful deliverable |
|---|---|---|
| Issuer offering lead | Gather records, resolve facts, coordinate approvals, and report changes | A current document inventory and decision list |
| Founder and company decision-makers | Set the business plan and proposed financing terms, verify disclosures, and authorize the offering | Approved terms and a consistent explanation of the business |
| Issuance Express | Coordinate Form C production and filing, required partners, deal-page setup, investor onboarding, and offering operations | A coordinated filing and portal process |
| Company counsel, as engaged | Assess the security, approvals, existing agreements, and legal disclosure questions | Appropriate security documents and advice on identified issues |
| Bookkeeper and finance team | Reconcile records, explain transactions, and prepare supporting schedules | Reliable financial records and cash planning |
| Independent accountant, when required | Complete the applicable review or audit and report | The required financial statements and signed accountant report |
| Qualified third-party escrow provider | Hold investor funds and transmit or return them through the required process | Funds handled under the escrow arrangement |
| Issuer outreach lead and providers | Build the audience, prepare approved communications, and respond to campaign activity | An outreach calendar with named content approvers |
| Holder-record administrator | Maintain the records and arrangements appropriate to the security | Reconciled securities and holder records after closing |
The last role may sit inside the company or involve an outside provider. Determine the arrangement for your offering rather than assuming a transfer agent or other provider is always required or included.
Use the portal for coordination and the regulated process
Issuance Express helps build and file Form C. It coordinates your company information, financial statements, proposed terms, and required partners. It also supports or builds the deal page, using your existing materials or the standard template.
Portal review is separate from making the company investment-ready. Intermediaries have specified issuer-review duties, including background and securities-enforcement checks and assessing compliance and holder-record arrangements. Rule 301 explains those duties.
The issuer remains responsible for its underlying information. The Form C signature instructions require signatures from specified company officers and directors or people performing similar functions. Keep factual approval with people who understand and can verify the information, even when others assemble and file the document.
Agree on who receives requests from Issuance Express, who answers them, and who approves the final response. Send one reconciled answer when several company records disagree.
Give accountants and counsel a defined assignment
Tell the accountant the statements are for a public Reg CF offering. Provide the proposed maximum, prior Reg CF history, fiscal year end, and existing financial statements. The financial statements guide explains how those inputs affect the required work.
Separate bookkeeping cleanup from the independent accountant’s review or audit. Ask who will correct missing entries, prepare debt schedules, and resolve related-party balances. An engagement to review statements does not mean that all preparation work has been assigned.
Give counsel the actual proposed security and existing financing documents early. A term that sounds straightforward in a pitch may require a company approval or conflict with a prior agreement. Ask for a scope that addresses your open issues. Issuance Express coordinates with counsel and accountants, but does not provide their legal or tax advice.
Confirm deliverables, assumptions, fees, and availability directly with each provider. A referral is a starting point for that conversation, not a substitute for an agreed engagement.
Separate payment processing from holding funds
With Issuance Express, Stripe processes investor payments and a qualified third-party escrow agent holds investor funds. The portal coordinates escrow workflows and eligible closings. The company receives proceeds when the applicable closing conditions are met.
These are distinct responsibilities. Rule 303(e) sets the funding portal’s process for directing investor funds to a qualified third party and directing transmission or return. Ask who handles a payment-status question, who can explain a refund, and who confirms a completed closing.
For example, a signed investment commitment does not by itself establish that funds have settled or become company cash. Have the finance lead reconcile actual closing information before authorizing spending. The fundraising funnel guide distinguishes those stages.
Keep outreach and approvals inside an operating routine
Your company leads audience building and outreach. Assign someone to maintain the email calendar, coordinate outside marketing providers, and identify investor questions that need a founder or financial response. Issuance Express does not promise investor demand or fundraising results.
Use one content-approval process for founder posts, agency ads, and campaign emails. Before a provider starts, give it the current documents and explain who approves changes. The marketing guide covers communications rules.
In an illustrative equipment business, the operations lead might verify supplier quotes, the finance lead reconcile the cash plan, and the founder approve the financing purpose. Counsel addresses the security terms while Issuance Express coordinates their inclusion in Form C and the page. Each answer has a source and a person responsible for it.
Finish kickoff with a handoff checklist
Before assigning dates, confirm the following items:
- Name the internal offering lead and backup.
- Record who owns each deliverable, who approves it, and what it depends on.
- Agree on how unresolved questions reach counsel, the accountant, or Issuance Express.
- Set one location for current documents and a regular review of outstanding items.
- Assign investor-question coverage and a way to report significant business changes.
- Name the people who will own holder records, security obligations, and annual reporting after closing.
Use the document checklist to turn those assignments into a working file. Then build the offering timeline around the work that remains.
