A portal has a defined regulatory role
A Reg CF offering must take place through a single registered intermediary’s online platform. The intermediary can be a broker-dealer or a funding portal. A funding portal has a limited role with specific responsibilities and restrictions. Registration establishes its regulatory status. It does not mean regulators endorse an issuer or the investments on the platform. The SEC’s intermediary guide explains the framework.
Jumpstart Micro, Inc., doing business as Issuance Express, is an SEC-registered funding portal and a FINRA member. You can verify the firm on FINRA’s funding portal list. For an issuer, the next question is how the portal’s operating process fits the work your company needs to complete.
Issuer review comes before platform access
Intermediaries must have a reasonable basis for believing that an issuer complies with the applicable offering requirements and has a way to keep accurate security-holder records. They also must conduct specified background and securities enforcement checks. The rules require denying or removing access when disqualification, potential fraud, or other investor-protection concerns meet the relevant standards. Rule 301 sets these duties.
This review explains why a portal asks for ownership information, company records, management details, prior offering history, and clarification of unusual arrangements. Treat the request as offering preparation. Give complete information early and identify gaps directly. An unresolved ownership issue can affect both the review and the disclosures investors will read.
Offering coordination turns company information into disclosures
Reg CF requires information about the company and the investment to be filed and made available to investors. The issuer remains responsible for the accuracy and completeness of that information. A portal’s involvement does not transfer the company’s disclosure obligations to someone else.
Issuance Express manages Form C production and filing, coordinating your team, CPA, counsel, and other partners the offering requires. We also support deal-page preparation and platform onboarding. You can bring an existing deal page and marketing assets or use the standard Issuance Express template.
Prepare source records that support the public explanation. Revenue figures, ownership percentages, security terms, and use-of-proceeds descriptions should agree across the filing and campaign materials. The Form C guide explains the main inputs.
Investor onboarding applies the participation rules
Before accepting an investment commitment, an intermediary must establish an investor account and obtain consent to electronic delivery. It must provide required education and obtain specified acknowledgments and information. The intermediary also needs a reasonable basis for believing an investor meets the applicable investment limits. Rules 302 and 303 describe this process.
Issuance Express operates investor onboarding and eligibility screening. This process matters even for supporters who already know your company. A product customer may be new to private securities, unfamiliar with transfer restrictions, or unable to invest the amount they first intended.
Explain the investment in language your community understands, then direct people to the portal to review the documents and complete the required steps. The portal process belongs in your campaign planning alongside the pitch itself.
Escrow and closing have separate conditions
A funding portal cannot hold, manage, possess, or otherwise handle investor funds or securities. Reg CF uses a qualified third party for the handling of investor funds. The portal can direct the third party to release proceeds when closing conditions are met or return funds when required. Rules 300 and 303 establish these boundaries.
With Issuance Express, investor funds sit with a qualified third-party escrow agent. We coordinate escrow workflows, material changes, and closing operations, including eligible rolling closes. The company should plan around completed closings rather than an assumption that all commitments become spendable cash immediately.
Investor cancellation rights and material-change reconfirmation can affect the amount that reaches closing. Review closing and investor cancellations before setting operating deadlines that depend on proceeds.
Your company leads outreach and business decisions
Funding portals cannot offer investment advice or recommendations or solicit purchases of securities displayed on their platforms. They may provide specified services within the rules’ permitted activities. Rule 402 explains the boundaries.
Issuance Express provides the regulated portal, offering operations, and investor checkout experience. Your company is responsible for building and activating its audience and leading its marketing. Portal access does not promise investor demand or a successful raise.
Your company also chooses its business plan and proposed financing terms, supported by the appropriate advisers. Issuance Express does not provide legal or tax advice. Assign an internal owner who can approve accurate company information, respond to investor questions, and coordinate decisions with counsel and the finance team.
Evaluate the working relationship before launch
A useful portal discussion covers the information needed, the partners involved, who approves documents, and the conditions for launching and closing. Raise any existing securities, parallel financings, complicated ownership, or unusual investor rights at the outset.
Issuance Express’s issuer process describes how we coordinate these steps. To prepare for that conversation, read issuer eligibility and the offering timeline. When you have a defined financing plan, apply with your company information so we can assess portal fit and the work your offering needs.
