Build an inventory before polishing the pitch

The first useful document for an offering is often a list of the records you have and the questions they leave unanswered. A polished deck cannot tell the offering team whether a founder loan has been repaid, which cap table is current, or whether the company has approved the proposed security.

Create one document inventory and assign a person to maintain it. Record the owner, date, status, and unresolved issue for each item. Use precise labels such as “awaiting signed agreement” or “bank accounts reconciled through August” instead of marking an entire folder “done.”

Issuance Express manages Form C production and filing and coordinates your team and required partners. A clear inventory gives that process dependable inputs. Your company remains responsible for the underlying facts and for explaining gaps.

Separate source records, working drafts, and public documents

Use separate folders for confidential source records, working drafts, and approved publication copies. Give access according to what each participant needs. Do not put bank details, personal identification, private customer records, or internal forecasts into a public folder by default.

The public offering package still needs complete required disclosures. Privacy is a reason to handle source records carefully, not to omit material information. Discuss how a sensitive fact should be disclosed with the offering team and counsel.

Keep an index that connects each public claim to its support. The company might provide an underlying customer agreement privately while publicly describing the material relationship in an appropriate form. The Form C guide explains how the disclosures fit together.

Gather company identity and ownership records

Start with the legal entity issuing the securities. Include formation documents, amendments, governing documents, and the records of relevant approvals. Describe any parent, subsidiary, predecessor, or operating entity so the team can understand where the business and assets sit.

Gather the current cap table and the agreements behind it. Include shares or membership interests, options, warrants, outstanding SAFEs, convertible notes, and other relevant rights. A spreadsheet without the underlying documents can miss terms that affect ownership or approvals.

Collect leadership and significant voting-owner information for the disclosure and portal-review process. Rule 201(a) through (c) specifies company, management, and significant voting-owner disclosures. Ask the team which people need to complete additional questionnaires or checks.

For an illustrative two-founder business, equal founder ownership may be only part of the picture. A prior SAFE, employee options, and a founder loan each affect the offering analysis in different ways. Include all of them in the inventory.

Organize the financial and financing history

Provide available financial statements and identify the periods they cover. Gather the ledger, reconciled bank records, debt schedules, equity activity, and supporting schedules requested by your accountant. Identify related-party balances rather than leaving the accountant to infer them from transaction descriptions.

The required public statements depend on the proposed offering and relevant history. Ask the accountant and Issuance Express to confirm the scope before commissioning additional work. The financial statements guide covers assurance levels and reporting periods.

List prior securities offerings, the exemptions used, amounts sold, dates, and remaining obligations. Include prior Reg CF filings and annual reports where applicable. Make the filing history visible even if a previous round was run through another intermediary.

Keep current management cash planning alongside the historical statements. Label forecasts as forecasts, identify their date and assumptions, and reconcile the opening cash balance. The forecast and runway guide provides a separate working approach.

Use a document worksheet to assign the remaining work

Copy this worksheet into your team’s working file. Replace the example issues with your actual status and agree on due dates after the dependencies are understood.

Record group Company owner What to gather Status or open question
Entity and governance Founder or company secretary Formation records, amendments, governing documents, approvals Is the proposed security authorized?

Financial package Finance lead and accountant Applicable statements, signed reports, supporting records Are the required periods complete?

This is a preparation worksheet, not a claim that every listed record must be published or that it covers every issuer circumstance. The team can identify additional inputs for your security, structure, and business.

Reconcile the documents before approval

Review the proposed terms across the cap table, security documents, Form C draft, page, and proceeds budget. Check the legal name, maximum amount, price or pricing method, deadline, fees, and investor rights. Resolve differences in a written decision list.

For example, management may increase the maximum after the accountant starts work. Record that change and notify Issuance Express, the accountant, and counsel. The financial scope, proceeds discussion, and security documents may all need attention. Updating the page alone leaves the rest of the package inconsistent.

Identify required signers and confirm their availability. The Form C instructions specify signatures by company officers and directors or people performing similar functions. Give signers time to review the final information rather than treating signatures as an administrative step after approval.

Keep a change log through closing and reporting

Maintain a short log with the date, changed fact, affected documents, owner, and resolution. Tell Issuance Express about significant developments during the offering. Material updates require amendments under Rule 203 and can trigger investor reconfirmation under Rule 304.

After closing, retain the final filing, amendments, security documents, closing records, holder records, and the company’s supporting evidence. Assign responsibility for contractual obligations and the annual reporting calendar. A complete handoff lets the operating team work from the financing that actually closed.
