Budget for usable capital at several raise amounts

The useful question is how much capital your business can put to work after offering expenses. A headline fundraising total does not answer that question. Some costs arise before launch, some depend on completed fundraising, and others continue after the offering ends.

Build separate scenarios for your minimum target, a working fundraising assumption, and your maximum. Use the same expense categories in each scenario so you can see which costs change with proceeds and which remain fixed.

For example, an illustrative manufacturer may want to buy equipment and build inventory. If the minimum raise covers only inventory after expenses, describe that smaller plan honestly. A financing plan that works only at the maximum leaves an important question unanswered for prospective investors.

This approach also helps set the target. The minimum should relate to a credible use of the net proceeds, with any need for additional financing explained in your Form C.

How Issuance Express fees are structured

Issuance Express’s published compensation disclosures describe an upfront offering fee, a cash success fee based on funds raised, and compensation in securities on the same terms and conditions as Reg CF investors. Certain bank and escrow expenses may also be passed through to the issuer.

Your offering agreement establishes the applicable amounts, fee calculations, securities compensation, pass-through expenses, and payment timing. The issuer’s Form C discloses the offering’s actual compensation arrangements. Use those offering-specific terms to build your budget.

Compensation in securities also affects the securities your company issues. Its effect on ownership or other obligations depends on the agreed fee and the security’s terms. Review that effect alongside the cash budget.

Issuance Express manages Form C production and filing, required partner coordination, deal-page support, platform onboarding, and offering operations. Ask which work the proposed arrangement covers and which third-party work is separate.

The accounting engagement often determines a substantial part of the preparation effort. Your financial statement requirements depend on the relevant aggregate offering amount, prior Reg CF sales, and available statements. A review and an audit involve different scopes.

Ask a CPA to quote the actual financial periods and report required for the intended offering. Include any bookkeeping cleanup needed before that engagement. A company’s existing tax preparation arrangement does not establish that its records are ready for a Reg CF review or audit.

Legal work depends on the company and proposed security. Existing stockholder agreements, lender restrictions, approvals, or changes to company documents may require attention. A complicated ownership history can create work that a newly formed company does not have.

Issuance Express can coordinate with your CPA and counsel. It does not provide legal or tax advice. Obtain the relevant professional scope before treating a portal fee as the complete preparation budget.

Marketing is an issuer responsibility

Your company leads its audience development and outreach. Budget both external spending and internal staff time. Someone needs to prepare communications, answer investor questions, maintain the campaign, and keep the public story accurate while continuing to run the business.

Potential expenses include creative production, approved advertising, outside marketing help, and events. They are choices to evaluate against your resources and audience. Buying more advertising does not guarantee that investors will participate.

Separate a production expense from a recurring expense. For example, creating a founder video is different from a continuing media budget. Decide who can authorize additional spending if the offering progresses more slowly than expected.

Review Reg CF marketing rules before paying for campaign materials or hiring promoters. Material that cannot be used as intended wastes both money and preparation time.

Closing expenses and cash timing affect the plan

Ask how escrow, payment processing, transfers, and any other transaction expenses apply to your offering. Confirm which party charges each amount and when it becomes payable. Avoid assuming that every charge is included in one advertised percentage.

Cash timing matters even when the total cost is understood. An upfront preparation bill may be due before the company can access offering proceeds. Investor commitments are not operating cash, and reaching the target alone does not complete a closing.

Issuance Express coordinates escrow workflows and eligible rolling closes. Investor funds remain with a qualified third-party escrow agent until the applicable closing conditions are met. Build your business cash plan around a confirmed closing process rather than the total shown on a campaign page.

A practical budget records the expense, provider, payment trigger, and source of payment. That makes it easier to identify a cash shortfall before an invoice or payroll date arrives.

Include the work that follows the raise

Reg CF creates continuing responsibilities. An issuer that sells securities generally files annual reports until it meets a permitted termination condition. Rule 202 sets those obligations. Your security may also require payments, notices, or other administration.

Include accounting support, record maintenance, investor communications, and the applicable reporting work in your planning. Do not assume that an offering service agreement includes all future administration.

The required disclosure of intermediary compensation and intended uses of proceeds appears in Rule 201. Clear budgeting makes that disclosure easier to explain.

Before committing to a launch, reconcile the proposed agreement, professional quotes, marketing plan, and net-proceeds scenarios. Bring unresolved items to Issuance Express so the offering plan reflects your company’s actual needs and resources.
