Here's how it works
Getting started with a new investment is simple, and it only takes a few minutes.
Step 1
Investor profile
After choosing a deal, create an account and provide basic info for your investor profile.
Step 2
Investment information
Next, complete investment details, such as shareholder type and investment amount.
Step 3
Payment & signature
Finally, select a payment method and e-sign your investor documents. That's it!
A few key metrics to consider when browsing deals:
Minimum Investment
The minimum amount you need to invest in order to participate in the offering. Most Reg CF offerings have a minimum that's sufficiently low to welcome everyday individuals as investors.
Security Type
What you're being offered in return for the funds you invest (i.e. deal structure). Securities can be debt, equity (ownership), convertible notes, or other types.
Deadline
The date by which the company has committed to closing the offering, after which investments will no longer be accepted. Companies may still close their offering in advance of the deadline, especially if it fills up.
Form C / Offering Statement
Companies seeking to raise capital under Reg CF must file a Form C with the SEC, including an offering statement containing extensive information about their deal and their company.
Risk Factors
Every deal carries different inherent risks, and every investor has a different appetite for risk. Investors should review the risk factors in the Form C.

What is Regulation CF?

Regulation CF allows investors to invest in startups and early-growth companies. This is different from helping a company raise money on Kickstarter; by investing in a Regulation CF Offering, you aren’t buying products or merchandise - you are buying securities from a company that has filed a Form C with the US Securities and Exchange Commission.Investments in securities of any kind carry inherent levels of risk - all investors should review the Form C in entirety before making an investment, including any risk disclosures. Who is eligible to invest under Reg CF?

The American JOBS ACT has created a new opportunity for entrepreneurs to raise capital and investors to now invest in private, early-stage opportunities. Previously these early-stage investments were limited to accredited investors (those with a net worth or more than $1M or income of more than $200k). Although this is a new and exciting opportunity, there are still some limitations placed around how much a non-accredited investor may invest - please consult the Issuance Express education page to learn more.

We're industry agnostic, that means we don't have a specific industry or company category we focus on when we consider what offerings to make available through our funding portal. We do however vet every deal that we bring on to ensure it meets the standards of compliance, deal structure, and risk level that we are comfortable with. Every investor has a different risk profile, so you should be certain that you understand the structure and risks of participating in any deal before you begin making an investment.
What deal structures are common in CF offerings?

Investment opportunities made under CF come in various structures; some are equity offerings, in which shares of common or preferred stock are available to investors, while others may be debt or convertible securities, such as a Crowd SAFE or SAFE note.
